Terms of Service
Last updated: 3 September 2026
1. Acceptance of Terms
By creating a Decktly account, downloading the application, or otherwise using Decktly, you agree to these Terms of Service. If you are entering into these terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
2. The Service
Decktly is a local-first HTML deck editor, provided as a desktop application for Windows and macOS and as a browser version at app.decktly.com. It opens, edits, and presents HTML documents held on your own device, and provides commenting and review features that are stored inside those documents.
Using Decktly requires a Decktly account, which is free to create. Your account carries an access entitlement that the application checks when you sign in.
We may offer Decktly, or parts of it, free of charge for as long as we choose. Free access is something we provide at our discretion, not a permanent entitlement: we may change it, limit it, end it, or make continued use conditional on a paid subscription at any time. Nothing in these terms obliges us to keep Decktly free of charge, to keep any particular feature available, or to continue offering Decktly at all. Where such a change is material we will notify you as described in section 10.
Decktly is not a cloud storage, backup, or file-syncing service. You are responsible for managing, securing, and backing up your own files.
3. Your Account
To use Decktly you must register an account with a valid email address. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your sign-in credentials.
Your access entitlement is granted to you or your organisation personally and may be subject to limits or an expiry date. You may not share, resell, publish, or transfer your account or its access entitlement without our written permission.
You are responsible for activity that takes place under your account. Tell us promptly if you believe your account has been used without your authorisation.
4. Acceptable Use
You agree to use Decktly only for lawful purposes and in a way that does not infringe the rights of others, violate applicable law, or interfere with the operation, security, or integrity of the service. In particular, you agree not to:
- circumvent, disable, or tamper with the sign-in gate, entitlement validation, or any other access control
- reverse engineer, decompile, or disassemble the application, except where applicable law expressly permits it
- share, resell, sublicense, or otherwise make your account or access entitlement available to unauthorised users
- use the service to store or distribute unlawful content, or content you have no right to handle
- attempt to gain unauthorised access to our systems or to another user's account
5. Software License (Separate EULA)
The Decktly desktop application is licensed to you, not sold. Your use of it is governed by a separate End User License Agreement, which is bundled with the application and can be opened at any time from the Help menu inside it. You accept it when you install or use the application.
The browser version at app.decktly.com carries no separate agreement of its own. Your use of it is governed by these Terms of Service alone.
These Terms of Service govern your use of the Decktly website, the browser version, and your account. Where the End User License Agreement and these terms address the same subject in conflicting ways, the End User License Agreement governs your use of the desktop application, and these terms govern everything else.
The application also includes open-source components licensed by their respective copyright holders. See our Third-Party Notices for details.
6. Intellectual Property
Decktly, including the application, the website, and their associated trademarks, remains our property or that of our licensors. Nothing in these terms transfers ownership to you. The documents you create or edit with Decktly remain entirely yours.
7. Disclaimer of Warranties
Decktly is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the application will be uninterrupted, error-free, secure, compatible with every system, or suitable for any particular purpose. You are responsible for verifying the accuracy of any document you produce or share using Decktly.
8. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of data, files, profits, revenue, goodwill, or business opportunity arising out of or relating to your use of Decktly, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to Decktly is limited to the amount you paid us for Decktly, if any, in the twelve months preceding the event giving rise to the claim.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
9. Termination
You may stop using Decktly and close your account at any time by contacting us. We may suspend or terminate your account, access entitlement, or access to the service if you breach these terms, misuse the service, or use Decktly unlawfully.
On termination, your right to use the application ends and the access entitlement associated with your account ceases to be valid. Documents already on your device remain yours and stay where they are. Sections that by their nature should survive termination - including intellectual property, disclaimer of warranties, and limitation of liability - continue to apply.
10. Changes to the Service and These Terms
We may update, modify, or discontinue parts of Decktly from time to time. We may also update these Terms of Service; if we do, we will update the "Last updated" date at the top of this page, and if the change is material we will notify account holders by email to the address associated with their account before it takes effect. If you do not agree to a change, you may close your account; continued use of Decktly after the change takes effect means you accept the updated terms.
11. Governing Law
These terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict-of-law rules. Mandatory consumer protections available to you in your country of residence are unaffected.
